1 Acceptance of Terms

By accessing or using VyaparSamiti, you agree to be bound by these Terms and Conditions and all applicable laws. If you do not agree with any part of these terms, you must not use our platform. Your continued use of the platform constitutes your acceptance of any changes we make.

2 Platform Description

VyaparSamiti is a B2B marketplace that connects verified Indian manufacturers, wholesalers, distributors, service providers, and importers/exporters with potential buyers. We provide a platform for listing businesses and products — we are not a party to any actual transactions between buyers and sellers.

3 Business Listings & User Responsibilities

As a registered seller or business owner on VyaparSamiti, you are solely responsible for:

• The accuracy, legality, and completeness of all information in your business profile
• Ensuring your GST/PAN details, contact information, and product listings are up to date
• Responding to buyer enquiries and RFQs in a timely and professional manner
• Honouring any quotes, prices, or terms communicated to buyers through the platform
• Keeping your account credentials secure and confidential

Misleading, inaccurate, or false information is strictly prohibited and may result in immediate removal of your listing without prior notice.

4 Prohibited Content & Conduct

You may not use VyaparSamiti to list, promote, or facilitate:

• Businesses or products that are illegal under Indian law
• Adult, obscene, or sexually explicit content
• Counterfeit, pirated, or trademark-infringing goods
• Firearms, explosives, or controlled substances
• Multi-level marketing or pyramid scheme businesses
• Spam, phishing, or deceptive marketing practices
• Any activity that violates another user's privacy or intellectual property rights

5 Intellectual Property

You retain full ownership of all content you upload to VyaparSamiti — including logos, product images, descriptions, and business information.

By uploading content to our platform, you grant Meshit Solutions a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute that content solely for the purpose of operating and promoting VyaparSamiti. This licence ends when you delete your content or close your account.

The VyaparSamiti name, logo, design, and platform code are the intellectual property of Meshit Solutions and may not be copied, reproduced, or used without prior written permission.

6 Subscription Plans & Payments

VyaparSamiti currently offers a free basic listing. Paid subscription plans (Gold and Premium) are available with additional features. By subscribing to a paid plan, you agree to:

• Pay the applicable subscription fee as listed at the time of purchase
• Automatic renewal of your subscription unless cancelled before the renewal date
• Our Refund Policy governing cancellations and refunds

Prices are in Indian Rupees (INR) and inclusive of applicable taxes unless otherwise stated.

7 Limitation of Liability

VyaparSamiti is a marketplace platform and intermediary. We are not liable for:

• The quality, safety, or legality of goods or services listed on the platform
• Disputes, non-payment, non-delivery, or fraud arising from buyer-seller transactions
• Any direct, indirect, incidental, or consequential damages arising from your use of the platform
• Losses arising from technical downtime, service interruptions, or data loss

Our total aggregate liability to you for any claim shall not exceed the total subscription fees (if any) paid by you in the 3 months preceding the claim.

8 Account Suspension & Termination

We reserve the right to suspend, restrict, or terminate any account or listing that:

• Violates these Terms and Conditions
• Receives verified complaints from other users or regulatory bodies
• Engages in fraudulent, abusive, or illegal conduct
• Has been inactive for more than 12 consecutive months

In most cases we will notify you before taking action, unless the violation is severe or poses an immediate risk to other users.

9 Governing Law & Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of India, including the Information Technology Act 2000 and its amendments.

Any disputes arising from or related to these terms or your use of VyaparSamiti shall be subject to the exclusive jurisdiction of competent courts in India.

10 Changes to These Terms

We may update these Terms and Conditions from time to time. We will notify registered users of significant changes via email or an in-app notice. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
